The Resolution which is published herein was adopted on the 14th day of February, 2017, and the permissive resolution period of thirty days has elapsed,  and the validity of the obligations authorized by such Resolution may be hereafter contested only if such obligations were authorized for an object or purpose for which the Town of Westerlo is not authorized to expend money or if the provisions of law which should have been complied with as of the date of publication of this notice were not substantially complied with, and an action, suit or proceeding contesting such validity is commenced within twenty (20) days after the date of publication of this notice, or such obligations were authorized in violation of the provisions of the constitution.

BOND RESOLUTION OF THE TOWN OF WESTERLO, NEW YORK ADOPTED February 14, 2017 AUTHORIZING THE PURCHASE OF ONE KOBELCO EXCAVATOR (Model SK140SR LC-5, SERIAL NUMBER YH08-11284), TO BE USED FOR HIGHWAY MAINTENANCE AT THE ESTIMATED COST OF $$131,546.54, APPROPRIATING $1546.57 THEREFORE, AND AUTHORIZING THE ISSUANCE OF $130,000.00 SERIAL BONDS OF THE TOWN TO PAY THE REMAINING COST THEREOF.

BE IT RESOLVED, BY THE TOWN BOARD OF THE TOWN OF WESTERLO, NEW YORK, AS FOLLOWS:

Section 1.  The specific object or purpose of the project authorized herein is the purchase of one KOBELCO EXCAVATOR (Model SK140SR LC-5, SERIAL NUMBER YH08-11284), to be used by the Town of Westerlo (the “Town”) for highway maintenance, said acquisition is hereby authorized at a maximum estimated cost of $131,546.54.

Section 2.  The plan for financing the purchase is as follows:  $130,000.00 shall be raised by the issuance of Serial Bonds or Statutory Installment Bond of the Town of Westerlo, which are hereby authorized to be issued therefor, pursuant to the Local Finance Law, and $1546.54 shall be paid directly by the Town of Westerlo. 

Section 3.  It is hereby determined that the period of probable usefulness of the aforesaid specified object or purpose is fifteen (15) years, pursuant to subdivision (a)(28) of Section 11.00 of the Local Finance Law.  It is hereby further determined that the maximum maturity of Serial Bonds herein will not exceed fifteen (15) years.

Section 4.  The final maturity of the serial bonds herein authorized to be issued shall be on or before the fifth year, measured from the first serial bond issued for the capital project referred to in Section 1 of this resolution.

 

Section 5.  The full faith and credit of the Town is hereby irrevocably pledged for the payment of the principal of and interest on the Bonds as the same respectively become due and payable.  An annual appropriation shall be made in each year sufficient to pay the principal of and interest on such obligations becoming due and payable in such years.

Section 6.  The Town is hereby authorized to issue bond anticipation notes for the purposes specified above in anticipation of the issuance and sale of the Bonds herein authorized.  Pursuant to Sections 30.00, 50.00 and 56.00 to 60.00 inclusive of the Local Finance Law, the power to authorize the issuance of and to sell the Bonds and any bond anticipation notes issued in anticipation of the issuance and sale of the Bonds herein authorized, including renewals of such notes, is hereby delegated to the Town Supervisor, the Chief Fiscal Officer.  Such Bonds or notes shall be of such terms, form and contents and shall be sold in such manner as may be prescribed by said Town Supervisor, consistent with the provision of the Local Finance Law.

Section 7.  The Town hereby covenants and agrees with the holders from time to time of the Bonds and any bond anticipation notes issued in anticipation of the sale of the Bonds, that the Town will faithfully observe and comply with all provisions of the Internal Revenue Code of 1986, as amended, and any proposed or final regulations issued pursuant thereto unless, in the opinion of bond counsel, such compliance is not required by the Code of regulations to maintain the exclusion from gross income of interest on said obligations for federal income tax purposes.

Section 8.  This resolution is subject to permissive referendum pursuant to Section 35.00 of the Local Finance Law.

Section 9.  The validity of the bonds and any bond anticipation notes issued in anticipation thereof may be contested pursuant to Section 80.00 of the Local Finance Law only if:  (a) such obligations are authorized for an object or purpose for which the Town is not authorized to expend money; (b) the provision of law which should be complied with at the date of publication of this resolution are not substantially complied with, and an action, suit or proceeding contesting such validity is commenced within twenty (20) days after the date of such publication; or (c) which obligations are authorized in violation of the provision of the constitution.

Section 10.  The Town Clerk shall cause the publishing of a notice in accordance with the provisions of Section 81.00 of the Local Finance Law together with a copy of this Resolution in full.
